These Terms of Service (Terms) govern your access to and use of the website located at yazheng.lat (the Site), operated by Chengdu Yazhengxiao Technology Co., Ltd., operating as Ya Zheng (we, our, or us), and the services we provide. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or our services.

1. Definitions

For the purposes of these Terms:

• Services means the computer systems design, integrated systems engineering, technology consulting, and related professional services provided by Ya Zheng.
• Site means the website located at yazheng.lat and all associated subdomains.
• Client means any individual or entity that engages Ya Zheng for Services under a separate written agreement.
• Content means all text, images, graphics, code, data, and other materials appearing on the Site.
• You or your means the individual or entity accessing or using the Site.

2. Acceptance of Terms

By accessing the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Services

Ya Zheng provides professional computer systems design and related services, including but not limited to:

• Systems architecture design and consulting
• Cloud and data center engineering
• Embedded systems design and development
• Network and communications infrastructure design
• Software systems engineering
• Technology consulting and advisory services

All Services are governed by separate written agreements, statements of work, or service contracts executed between Ya Zheng and the Client. These Terms do not create a client relationship or obligate Ya Zheng to provide Services. The scope, deliverables, timeline, fees, and other terms for any engagement will be set forth in a separate agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. Descriptions of Services on the Site are for informational purposes only and do not constitute an offer or binding commitment.

4. Site Use and Conduct

When using the Site, you agree to:

• Use the Site only for lawful purposes and in compliance with all applicable laws and regulations.
• Provide accurate, current, and complete information when submitting inquiries through our contact forms.
• Not use the Site to transmit any viruses, malware, or other harmful code.

The name Ya Zheng, the Ya Zheng logo, and the tagline Engineering Excellence. Every Connection. are trademarks of Chengdu Yazhengxiao Technology Co., Ltd. All other trademarks appearing on the Site are the property of their respective owners.

You may view, download, and print Content from the Site solely for your personal, non-commercial use, provided you retain all copyright and proprietary notices. Any other use, including reproduction, modification, distribution, transmission, republication, display, or performance of the Content, is strictly prohibited without our prior written consent.

6. User Submissions

Any information, inquiries, proposals, or other materials you submit through the Site, including via our contact forms or email, will be treated as non-confidential unless otherwise agreed in writing. By submitting information through the Site, you grant Ya Zheng a worldwide, royalty-free, non-exclusive license to use, reproduce, and process that information for the purpose of responding to your inquiry and providing Services.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YA ZHENG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

YA ZHENG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YA ZHENG DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.

Any reliance you place on the Content or information on the Site is strictly at your own risk. The Content is provided for general informational purposes only and does not constitute professional engineering advice. You should consult qualified professionals before making decisions based on information from the Site.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YA ZHENG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or our Services.
• Any conduct or content of any third party on the Site.
• Any content obtained from the Site.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL YA ZHENG'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00). THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF YA ZHENG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ya Zheng, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or in connection with:

• Your use of the Site.
• Your violation of these Terms.
• Your violation of any rights of any third party.
• Any information you submit through the Site.

10. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Ya Zheng. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Ya Zheng shall not be liable for any damage or loss caused by or in connection with the use of any such third-party content, websites, or services.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the competent courts in Chengdu, Sichuan Province, China.

For international Clients, the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms or to any Services provided by Ya Zheng.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity and enforceability of the remaining provisions.

13. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Ya Zheng.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ya Zheng regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

For Clients who have executed a separate written agreement for Services, the terms of that agreement shall govern the provision of Services. In the event of any conflict between these Terms and a separately executed services agreement, the services agreement shall control with respect to the Services provided.
